Oando to Acquire ConocoPhillips’ Nigerian Assets for $1.79bn, Articles | THISDAY LIVE
"Nigerian indigenous energy group, Oando Plc, has stated that its affiliate Oando Energy Resources (OER) has entered into agreements with ConocoPhillips (COP) to acquire its entire business interests in Nigeria for a total cash consideration of $1.79 billion plus customary adjustments." This OER is the affiliate registered in Canada exchange. How will this affect the share price here in Nigeria? |

With OandO you are never sure. Will not be surprised if one day we suddenly discover that shareholders of OandO have no stake in OER!

A lot of things about OandO is shrouded in manipulation and fraudulent intentions. I pity anyone that invest hard earned money there. It is only good for kalokalo. I thought they have learnt lesson. but it appears they are unrepented

My brother, that OER thing be like the more you look the less you see. With the reverse acquisition to enable listing on TSX, who now owns OER? No investor should buy Oando because of this new deal with Conoco-Phillips unless you are very sure who owns OER. I no fit shout O.

Them know why them use the word affiliate Oooo. Abi you come think say Oando use only 5.4% of OER for the reverse acquisition that enabled them list on the TSX?

High Points 1. The Company has paid a $435 MM cash deposit to Conoco, financed by a $345 MM loan from the Company’s parent, Oando Plc, as well as a $90 MM loan funded through secured bridge loans guaranteed by Oando Plc. The $345 MM loan from the parent has a 120-day term, an annual interest rate of LIBOR plus 10.5% and is convertible into company shares at the lower of the 5-day VWAP from December 20 and the 5-day VWAP preceding the day that Oando Plc gives notice that it wishes to convert the loan into company shares. Q: Was the loan from Ocean and Oil or Oando PLC ? ![]() ![]() 2. In addition to the $435 MM deposit paid upon signing, the Company expects the remainder of the purchase price to be funded through equity and debt, including private placements of equity-linked securities, a follow-on offering of company shares and $800 MM of senior secured loans that are expected to be provided by a syndicate of international and Nigerian banks. Management will target a 50/50 debt to equity split for the acquisition over time, dependent on market conditions. Q: How prepared is Oando for this escalating debt profile if Sir KOD and his boys decide to resume hostilities in the creeks and/or the global oil prices suddenly plunge to record low prices? Please when the loans are secured, make we know the Nigerian banks involved.

After experiencing what has happened over the years in NSE. STERLING especially. I am wary ownership structure is not as published in their report especially with all the debts. Very soon it may be made clear that a particular PPP debt was used to fund OER or XYZ and indeed PPP own most of OER or XYX. I regret entering the stock at N20 a year ago betting Oando will pay a dividend during 2012 as they have been consistent on dividends.
