It seems all sort of companies are packaging PP's. One need to be carefull. Just came across this yesterday.

WEBSITE: courtevilleng.com-l'll enquire further on this pp.One need to know more about the company's directors' background-especially with their very close contact with the Lagos state Govt before the final exit of Bola Tinubu.

I checked the company's website and could not find any list of the board of directors. That is troubling in the sense that there is no corporate oversight of the management team. We should be cautious of these types of firms. since most stock brokerage firms will be coming out with pp's. I'd caution us to invest only in reputable firms with a track record. It is so easy for these firms to get on the newspaper tout their achievements which we can't verify. There some key questions we need to ask ourselves: 1) Who is managing the firm? 2) Does the firm have a board of directors and what caliber of people are on that board? 3) Is the company profitable with good fundamentals? 4) What does the analysis of the financials of the company show? 5) is there any intrinsic value in in the offer share price?, and 6) Are they planning to list on the NSE or not? |

the guy is correct you need to teach people to learn about the company you want to invest and make sure they have sound fundamentals and forward thinking management. Its very important. You dont just get PP documents and invest in or have we forgotten we are in Nigeria. What is happening in Nigeria is not new it has happened in other places around the world so we are just telling people to be cautious and look very well before you leap especially for those guys who just started buying shares. this is very important! |

on the list of OPERATORS TEMPORARILY REMOVED FROM THE CAPITAL MARKET , there is one synergy inv. & sec limited. thier address is 10, Olowogbowo Street, Off Broad Street, Apangbon, Lagos Tel: 01-832327, 832614 i dont know if it is thesame with the Synergy Capital which is the financial adviser to this PP. thier address in the PP memo can help confirm if they are thesame. they were temporarily removed becuase they have not applied for renewal of thier license. as for STRAND Capital Partenrs i could not find anything on them. I called courteville office last week Friday and spoke with their MD,he told me the pp was already sold out.Not satisfied,I got thru to Equity Capital Solutions Ltd, one of the Arrangers of the PP offer this morning, it was the same story. They are not ready to accept any thing beyond what they required as per the PP memo. Do not want to go thru the burden of returning monies to subscribers to the offer. I tell you, there are BIG players in the capital market now.This company have a strong prospect of growing, if well managed, with good contacts to get patronage from other states of the federation.Presently, they service LAGOS and ANAMBRA states motor vehicle License Registration/ Renewal Automated system-AUTOREG

CEO Q & A with Courteville Investment Plc Posted Monday, August 18, 2008 Courteville set to explore the West African e-Solutions platform - To list on the NSE in next few weeks . Excerpts: Why use Public Liability Company (PLC) in Courteville Investment We are going public, we now have over 1,200 shareholders, and we have registered with Securities & Exchange Commission (SEC). Courteville is in the process of getting its shares listed on the Floors of the Nigerian Stock Exchange (NSE). Courteville and its 1.0 billion Private Placement We went into a Private Placement (PP) to expand the shareholders base and be able to show Nigerians and the Stock Exchange; the things Courteville is doing. Also the Placement was done in order to raise long term funds for the company’s expansion plans. Between April 01 and April 08 2008, about six working days, we raise about N1.53 billion from 1.0 billion units of shares at the price of N1.53 Kobo and it has taken our shareholders funds to about N4.5 billion. On the name Courteville Investment Courteville Investment is a SEC registered corporate business advisory firm. This is the business we set out to do since the inception of the company. We had essentially locally large corporate companies as our clients such as Chisco Transport Limited, National Sports Lottery (NSL) then and some banks. Again, we did this for the first two years of our operations, between 2005 January and middle of 2006; when we decided to attend to businesses from the mass market. Courteville Investment opted to develop automated business solutions for any product or service that had anything to do with delivery to the masses, there are about 140 million Nigerians and we are sure that within the whole landscape, we could find something new to introduce to the market. Nigeria is a virgin market to most Electronic Solutions (e-Solutions). In that process, we came up with an idea after doing our extensive research for between six to nine months, we came up with the “AutoReg” business solutions product for Motor Vehicle Administration Documentation (MVAD). It means that anything that has to do with motor vehicle documentation for administration, we provided an e-solution that was all encompassing. The products we developed include vehicle license registration, hackney permit/Drivers license issuance and Ministry of Transport (MOT) certification and so on. Courteville came up with these solutions to address the challenges Nigerians face as vehicle owners and to deliver these services to the masses. Also, we came up with different problems that were plaguing the system then; still high in some states. Courteville introduced AutoReg to attend to these problems. Our solution was of international standard; because in the process of attending to these challenges that was peculiar to Nigeria, we meet international standards; most of these problems were not in existent in most countries outside Nigeria. Such as power, internet access and the willingness of people to comply with laws and directives of government. Courteville attended to most of these problems and came up with solutions that were of world standard. In Nigeria we have various levels of infrastructures that has challenges, therefore, you cannot bring out a solution; solving a challenge only to be confronted with a challenge outside your purview. Courteville Investment made it possible for the first time anywhere in the world, for people to walk into any designated processing point and in five minutes, they would come out with their vehicle documentation that is safe, original and can be authenticated by any Vehicle Inspection Authority Officer anywhere in Nigeria. Courteville Investment and listing of its shares on the NSE Hopefully in the next four weeks, everything is ready; we closed the Placement within one week; though it was supposed to be opened for a month. The Placement was concluded like I said earlier within six working days. By the end of April 2008 and early May, 2008 investors were given allotment and their share certificates delivered to them. Those that invested through Stockbrokers had their share certificates delivered through these Stockbrokers. However, a good number of investors came directly and invested. Courteville decided to close the Placement after raising about N1.53 billion in order not to hold on to people’s money. Everybody got a 100 percent allotment. Units/price of listing Courteville is listing 3.0 billion units; we have submitted all our application both with SEC and NSE before the listing at Placement price directive was issued. However, we would wait on the Stock Exchange to do the right thing and I am sure this would be done. Courteville Investment and further fresh funds Not in the nearest future, we don’t plan of raising further fresh funds. Other uses of the proceeds of the Placement fund We are expanding our Information Technology (IT) infrastructure; this is basically the thing we would spend most of the funds on. Our IT infrastructure have been enlarged, we now have a system whereby our IT platform can process about 15 million transactions concurrently at any point in time. Courteville Investment also has a data base capability of over 30 million; which is in preparation to expand to the West African sub region. We have set up infrastructure to be able to accommodate a lot of other e-Initiatives and you would be seeing these coming up in the next few days. Also, it is not all about motor vehicles registration; we also do Electronic Commerce (e-Commerce) in about two weeks, you would see that also unveiled. Apart from this, Courteville has cleared all its outstanding debts; amounting to over N300 million at that time; we are completely free from any debt either internal or external. Expansion into other states of the federation First and foremost, we have been in Lagos State since February, 2007. We are expanding to five states. AutoReg was launched in Anambra State on March 01, 2008; simultaneously, we launched Oyo and Delta States on June 01, 2008 and just at the beginning of this month, Courteville launched in Enugu State. Thus, we expect to launch two additional states within the next two months and these would take us to seven. However, by the end of the year, we expect to be in about 10 states; because most of the approvals are in place. This would have enabled us to cover about 75 percent of the total automobile population in Nigeria, but as we speak, Courteville is over 50 percent in terms of coverage. Again, the very interesting thing is that when we say we are going sub- continental, it is because we know that across West Africa, there only about 2.5 million vehicles; but Nigeria alone has eight million.
